Has The Voxx International/Sharp Onkyo Deal Gone Pear Shaped As Deadline Passes?

According to sources Voxx International and Sharp have failed to sign on the dotted line of the contract to acquire the struggling Japanese business.

A deal was supposed to be concluded back on May 20, 2021 but according to insiders the US Company who has a reputation for being disloyal have not signed the original agreement with the possibility that Onkyo is now talking to other interested parties.

The interim original agreement was to be replaced with a definitive agreement containing all of the final terms and conditions of the final sale transferring the Onkyo A/V division to a new partnership consisting of Sharp and VOXX. But instead Onkyo has now put out a statement saying the deal has changed.

Several analysts had reservations about the deal due to the high level of debt associated with the insolvency hit Onkyo who recently reported a global revenue decline of 49.3% in its fiscal year 2020 with a record net loss of over $90 million (from FY 2019).

The Tokyo Stock Exchange gave Onkyo a limited window of time to get itself together or be delisted from the JASDAQ stock exchange.

Onkyo who has had three previous deals fall apart, released a statement last week claiming “Although discussions on the transfer of this business (Onkyo Home Entertainment) are proceeding smoothly, confirmation by the three companies continues in the final adjustment part. Since it has been done, we have decided to change the scheduled conclusion date that was disclosed.

“The scheduled date for concluding a formal contract that stipulated the final details and conditions of this transfer shall be ‘May 20, 2021 (scheduled).’ However, it has [now] been changed to ‘late May 2021 (scheduled)’ and will be disclosed as soon as it is confirmed.”

The big question now is whether the risks associated with Onkyo is going to rise up to derail the deal with Sharp and Voxx International.

Archrival Sound United took one look at Onkyo and the associated Pioneer business and walked away.

In the latest talks it appears to be the detailed negotiations of the risks associated with taking on tens of millions in debt that is causing the delay.

One observer wrote “I believe that Onkyo remains what dealmakers like to call, “a motivated seller.” But Onkyo has been at the altar three times before…only to see it slip away for different reasons”.

With its shares likely to be removed from the TSE around July, Onkyo “began considering all possible options for maintaining business continuity,” the company said in their announcement of the Voxx International Sharp deal.
Onkyo described Sharp and Voxx as “suitable” partners with which it has collaborated in audio equipment before.

The company said it aimed to reach a formal agreement that sets the terms of the deal by May 20.

A Sharp spokesperson confirmed that the company is considering the Onkyo proposal. What’s not known is who will wear the bulk of the Onkyo debt.

Selling its audio business, which accounted for 53% of total sales in the year ended March 2020, would leave Onkyo with no clear substitute in terms of earnings potential.
Besides making its own products, Onkyo is also a player in original equipment manufacturing (OEM), assembling television speakers and other devices for other brands.

When the company announced plans to sell its audio-visual business to Sound United in May 2019, CEO Munenori Otsuki said Onkyo would seek growth in OEM. Talks broke down in October after the two sides failed to agree on the terms of the deal. The announced sale price was about 8 billion yen ($73 million at current rates).

More failures followed. Onkyo sank to a negative net worth of 3.3 billion yen in the year ended March 2020. It sought a capital injection from an overseas investment fund but was unsuccessful. Onkyo remained mired in negative net worth for a second straight fiscal year, a violation of the TSE’s listing rules.

On Wednesday, at a specially convened meeting of the Board of Directors for Onkyo Home Entertainment Co. Ltd. (Onkyo), company directors formally voted to authorize the transfer of Onkyo’s home AV division to the partnership of VOXX, Intl. and Sharp Corporation, in a deal valued at $30.3 million. The transaction is pending shareholder approval. This development represents real progress on a deal that had appeared to be bogged down recently.

In documents filed with the financial authorities in Japan, Onkyo revealed that on May 26, 2021 company directors had approved the transfer or sale of Onkyo’s home AV division to VOXX and Sharp. This approval is contingent on the deal being ratified by shareholders in a general meeting that has been scheduled for June 25, 2021. This is the closest that Onkyo has come to actually close on a deal to sell off the division. As I disclosed in a previous post, three previous attempts to sell the company fell through in the later stages after preliminary agreements were reached.

For the purposes of their official filings, Onkyo refers to the matter as a “business transfer” and their agreement with the VOXX & Sharp partners as a “Business Transfer Agreement.” If Onkyo shareholders vote to approve this transfer, then on that June 25th day, the company will become “VOXX International Corporation.”


Background Recital Recounts Years of Difficulties at the Company
NOTE: This post is based on materials out of Japan that have been subject to a machine translation from the original Japanese to English. Keep in mind, machine translation can be a bit imprecise – so some wording may not be exactly correct to the original document. However, it is usually fairly close and over the course of longer documents, you can usually extract a fairly close reading of actions and meanings.

From this document’s recital of the history or background to this deal, we learn some interesting facts.

The company has been generating “ordinary losses” every year since 2013
These ordinary losses have disrupted its business by causing “delays in payment of operating debt to business partners.”
To address this situation, Onkyo “concluded a transfer agreement” with Sound United
The Sound United deal would have served to “improve financial condition by eliminating payment delays and promptly repay existing loans”
However, to conclude a definitive agreement with Sound United required the achievement of certain milestones, such as “concluding contracts” and “securing financing.”
It was, the document revealed, “difficult for both parties to do so” and the “business transfer was canceled”
Then the company planned to improve its situation by “raising funds through large-scale equity financing”
But, “due to the slump in stock prices, the amount raised was far below the plan”
The company also saw results decline “due to the effects of the new coronavirus infection”
Other factors adding to their woes included “limited production and sales activities” that made it “unable to earn originally planned recurring income”
Onkyo also experienced “difficulty in collecting debts due to the deterioration of store performance”
The company “continued to carry out equity financing in the fiscal year ending March 2021.”
But Onkyo was unable to complete the equity-financing plan because of declining sales from “delays in resolving delays in payment of operating debt and tight supply of parts”
Further adding to woes was a “decrease in profits” and “the performance was reduced due to the recording of allowance for doubtful accounts due to the deterioration of the business condition of the former US distributor
With all of this, the company reported its insolvency for both the 2020 and projected 2021 fiscal years

The Time Had Come ‘to Consider All Options’
That’s quite a tale of trouble and woe in the path to a deal with VOXX & Sharp. When the equity financing deal fell through, the company realized that they needed “to consider all options for business continuity.” In other words, desperation was setting in and it was time to talk to all comers.

According to this filing, the company approached both VOXX – their then-new U.S. distributor – and Sharp. Sharp makes a lot of sense as the two companies were already connected through their S & O Electronics Sdn. Bhd partnership, in which the two companies jointly own the Onkyo-built factory in Malaysia.

However, on the other hand, it is no longer possible for us to continue our business operations on our own.”
Had the Stars in Heaven Finally Aligned?
Suddenly…it seemed to Onkyo management as if the stars had finally aligned. They had existing business relationships with both parties, although the VOXX relationship was still very, very new – measured in months, not years. Most notably, they believed that the new partners (VOXX & Sharp) will continue “the future development of the home AV business.” So they believe this deal means that the Onkyo, Integra, Pioneer, and Pioneer Elite brands will continue to live on with the new owners’ financial backing.

Onkyo Admits a Hard Reality That ‘…It is No Longer Possible for Us to Continue on Our Own’
The filing notes that the Onkyo board believes that “the consideration is fair.” The “consideration” means the amount that VOXX/Sharp is paying (more on this below) to acquire the home AV business segment. This amount, Onkyo says in the filing, will be used for “repayment of creditors related to the home AV business.” And while that phrase may be music to the creditors’ ears, the company admits that “All of the company’s difficult business conditions, cash flow, and current operating debt payment delays…Is not resolved.”

In other words, this deal will not sweep all their troubles away. It sounds as if the VOXX/Sharp partnership is only acquiring the assets of Onkyo’s home AV business, not the liabilities. Some might come to the conclusion that with this being the case, this deal might not be good enough. But, consider this…

“However, on the other hand, it is no longer possible for us to continue our business operations on our own.”

So this deal will not pay off all of Onkyo’s debts, and that will remain a continuing challenge for them. However, the company promises to continue to make payments, saying: “We will continue to make repayments, and make every effort to pay off debts as soon as possible and to operate our business normally as a company.”

Was the ‘Consideration’ Paid for the Onkyo Home AV Business…Considerate?
In this filing, Onkyo reveals that the consideration being paid by VOXX/Sharp is about ¥3.3 billion or about $30.3 million. That works out to a little less than 1 times sales, as I showed in a previous post that fiscal 2021 global sales for Onkyo’s home AV division came in at $31.8 million. Whether this is generous or stingy almost doesn’t matter at this point for the company, it was most likely the best deal they could get.

Also keep in mind that while VOXX/Sharp has won the worldwide rights to design, manufacture, and sell once great brands like Onkyo, Integra, Pioneer, and Pioneer Elite, it won’t be a cakewalk. There is a lot to be done to revitalize these brands, such as solving their many short- and long-term problems, rebuilding their deeply bruised brand reputations with the market and dealers, and heavy marketing investment to reinstill confidence in their future.

Does VOXX Have What It Takes?

It may take more than VOXX/Sharp realizes to reanimate the once loyal and supportive Onkyo dealer network. It has been a tough few years for Onkyo dealers, many of whom came to believe the brands had become unreliable and stopped spec-ing them into installations. With a promised inventory that showed up months later than initially promised – or not at all – and defective units that couldn’t be repaired as there were no parts available…many dealers felt forced to switch to other brands, including Sound United brands, to fill their market needs. These dealers may not be so quick to come running back, just because the Onkyo brands have a new owner.

On the other hand, I’m convinced that this deal represents the best possible opportunity for Onkyo to get back into action. It just remains to be seen whether VOXX has what it takes to return these brands to their former glory

רסיבר עם DIRAC LIVE בעלות של 1000$ מריח לי קצת לא טוב. לא ההיתי ממהר לרכוש עד שההיתי קורא המון סקירות כולל תוצאות מדידה. אבל אם אכן הם הצליחו להביא את DL לעם, אז כל הכבוד להם וזה בהחלט יכול לשקם את החברה הזאת. רק חבל שהדגמים שלהם נעצרים ב 7.2 ערוצים ולא יותר מזה.

More 2021 Integra Details Revealed, Including Powerful Integration Tools, as Shipping Times Grow Closer


(June 1, 2021) 11 Trading Company (11TC) recently showcased Integra's new trio of AV receivers to partners in the custom install and integrator space, revealing new details and advanced tools rarely seen in the sub-$3,000 category. Before we dive into Integra specifics, here's a quick update on 2021's class of Onkyo, Integra, Pioneer, and Elite AV receivers:
11TC product managers have final working prototypes in-house and have paced them through extensive testing. These managers say brand engineers have remained receptive and accommodating to technology and performance requests, leading to quite a few exciting tech inclusions.
As first reported here, pricing remains undetermined as costs associated with raw materials, electronics, and shipping continue to fluctuate. It appears to have held relatively stable, with minor increases applied to select models. Still, we won't know the final numbers until shipping begins. 11TC says seven of the brands' ten models are slated to ship during July, with Integra's DRX 2.4, Onkyo's TX-NR6100, and Elite's VSX-LX105 arriving in the October/November timeframe.
11 Trading Company says that Dirac Bass Control is still a possibility. Rest assured, product managers have heard the enthusiast community's desire for its inclusion.
As for Integra, all three 2021 models have been endowed with features that make installation, integration, and servicing as convenient as possible. Some elements are physical, such as high-contrast white back panels that are easy to read in dark environments, but most involve new and improved technologies.

On the performance front, 11TC says the entire Integra line carries the latest chips from NXP. Thanks to a high-bandwidth networking protocol, these chips "stay awake" on a network and can be immediately recognized by third-party controls. Also, as previously disclosed, the receivers' HDMI 2.1 cards meet the specification's maximum requirement for hardware data transfer rates (40Gbps), allowing for single-source 8K media to be shared with two different displays, or multi-source 8K and 4K media to be shown in two different zones. Aside from HDMI 2.1's advantages for modern console gaming platforms, 11TC's product managers highlight 2.1's Quick Media Switching (QMS) feature, which eliminates frustrating "black screens" experienced during source switching with earlier versions of HDMI.

As for integration, Onkyo and 11TC have developed a new remote web browser-based set-up process for select 2019 and 2021 Integra, Elite, Onkyo, and Pioneer AV receivers. This allows installers to perform initial set-up and full customization without being in the same room as a receiver (thus, eliminating the use of a physical remote control). 11TC says this web-based tool is easy to initiate and can be performed by a single person with a computer, allowing for navigation of Initial Set-up windows, assigning inputs and outputs, defining speaker configurations, running acoustic calibration software, and much more.

Of course, web-based controls also give installers off-site access to monitoring and diagnostic tools, making remote troubleshooting and problem solving a reality.

Audio performance is enhanced by Dirac Live Room Calibration (which can be performed wirelessly, using a provided wired microphone and app, or with a PC and an approved USB microphone) and the inclusion of AccuEQ. New for this year is a Klipsch Reference Speaker Mode (KRSM) within AccuEQ. KRSM gives installers of 2019's Onkyo TX-NR696 and 2021's Onkyo TX-RZ50, TX-NR7100, TX-NR6100, TX-NR6050*, TX-NR5100, and Integra's DRX-5.4, DRX-3.4, and DRX-2.4 access to preferred – pre-programmed – crossover settings suggested by Klipsch Engineers for the brand's entire line of Reference speakers. This feature will become available via a firmware update later this summer.

Lastly, a feature that caught my eye is the inclusion of AptX HD Bluetooth for connection to compatible wireless headphones, which allows a receiver to stream audio content to headphones when speakers are in use or when discrete audio is needed. This not only provides owners with the ability to eliminate the use of speakers, but also allows viewers with hearing deficits to enjoy elevated volume levels while others enjoy normal volume levels.

* Onkyo's TX-NR6050 is a Costco derivative model of the 6100, which lack the THX certification of the 6100, and drops from 100W per channel to 90W per channel.




06.01.21 - New Web Setup for Onkyo, Integra, Pioneer and Pioneer Elite AVRs
Onkyo Home Entertainment and 11 Trading Company have unveiled a completely updated remote, web browser-based setup and configuration tool for select 2019 and new 2021 Onkyo, Integra, Pioneer, and Pioneer Elite multi-channel home theater AVRs.

“Web Setup” allows the custom integrator access to all features and functions for the AVR over any web browser from any mobile device, regardless of operating system. This enables the CI to completely customize every feature and function of the AVR without requiring the CI to be in the same room as the AVR!

Due to the legalities surrounding the many types of included streaming services available to end-users of networked home theater components, those components require the person setting them up to first navigate a series of “Initial Setup” menu screens. These include permissions for those apps, and accepting or denying these permissions must be done before the customer can actually use the AVR. Typically, being able to read the legal disclaimers for these services requires the use of a TV screen. For many users who are installing the AVR in the same room as their home theater, this is easily accomplished by plugging in the AVR to the TV, picking up the AVR’s remote control, or pressing buttons on the AVR’s front panel, and following the on-screen instructions.

But, as is very common in custom installations, the AVR and other components are usually in a rack safely tucked away out of sight in a completely different room from the home theater. How does the CI navigate the Initial Setup menu if he or she is in front of the AVR and can’t see the TV is an upstairs room in the client’s house? Or, if the CI is in the same room as the TV, then the AVR’s front panel controls can’t be reached, and the remote control can’t be used. It can be time-consuming, stressful, and even embarrassing, to have to run back and forth in front of your client between the home theater space upstairs, and the AVR equipment rack in the basement to get this done.

Look Ma, No Hands! Web Setup to the Rescue!

Once select 2019 and 2021 Onkyo, Integra, Pioneer and Pioneer Elite AVRs are connected via Ethernet to a local network, the CI can easily find the IP address of the AVR on their client’s network, then enter that address into a web browser on any mobile device such as a laptop or phone. Web Setup will automatically load in the web browser for quick and efficient configuring, all without having to ever touch the AVR, or even be in the same room!

When activated, Web Setup will always scan the AVR for its current status, and if it needs to first run through the Initial Setup’s on-screen legal permissions menus, a Virtual Remote Control will be displayed in the browser window, which can then be used to proceed through the Initial Setup menus on the client’s TV. You no longer need to relay commands to a second CI stationed in front of the AVR over a phone or walkie-talkie. Web Setup’s virtual remote is immediately ready for a single CI---or even a DIY customer---to quickly navigate through the Initial Setup options, and then move on to configuring the AVR for full use.

From that point forward, there is no need to refer to the main TV again. All features and functions of the AVR can be accessed and customized via Web Setup in the web browser of your choice.

(June 3, 2020) Premium Audio Company, a subsidiary of VOXX International Corporation, and Sharp have signed an Asset Purchase Agreement to jointly acquire the audio/video business of Onkyo Home Entertainment Corporation. According to VOXX, the purchase price is approximately $30.8 million (plus the assumption of liabilities), pending confirmation by an Onkyo shareholder meeting on June 25th.

Assuming the process is consummated, the VOXX and Sharp joint venture will control Onkyo’s intellectual property, brands, engineering, and manufacturing rights. Ultimately, Premium Audio Company will be responsible for all sales, marketing, and distribution of Onkyo and Integra AV products. At the same time, Sharp will resume manufacturing duties in its Malaysian plants. 11 Trading Company, a subsidiary of Premium Audio Company, will continue to handle distribution in North and South America, and Klipsch will be tasked with distribution in other parts of the world.

As of this time, Pioneer and Pioneer Elite audio/video properties (currently licensed by Onkyo) are not part of the deal, however, all parties have entered into a Memorandum of Understanding to formalize a new agreement.

According to Pat Lavelle, President and CEO of VOXX: “This acquisition is a great addition to our Premium Audio Company. Since we established our distribution relationship in July 2020, we have seen strong demand for both Onkyo and Integra products. Sharp, our partner in this venture, brings world-class manufacturing capabilities and together, with our distribution partners and strong customer relationships, we believe we can grow this business significantly in the years ahead. While we anticipate growth this year as well, should the transaction be approved, it will take time to ramp up manufacturing lines and secure parts, which is a challenge for the industry at large. With that said, we believe over the coming years, we will restore worldwide sales resulting in strong top-line growth and improved profitability

Onkyo AV receiver matched to Klipsch brand speaker characteristics
Equipped with "Klipsch Optimized Mode" function by software update
Onkyo Home Entertainment Co., Ltd. (Location: Higashi-Osaka City, Osaka Prefecture,

speaker "Reference Series" at Onkyo's AV receiver.
A software update will include a "Klipsch Optimized Mode" function
that sets the optimum sound field when combined.

■ What is Klipsch Optimized Mode?
Our AV receiver tunes the optimum viewing environment according to
the speaker and room environment, and reproduces the ideal "sound".
It is equipped with an automatic sound field correction technology
that enables. (Onkyo brand AccuEQ, and AV Les scheduled to be released this summer
(Dirac Live TM is newly installed from the sea bar ) Also, the AV
receiver is output from the speaker system including the subwoofer.
Equipped with a function called "base management" that outputs the
low frequencies to a subwoofer or main speaker with higher low
frequency reproduction capability.
We are here. The crossover frequency that determines the playback
frequency band of base management can also be set by the automatic
sound field correction function.
However, some errors may be included due to environmental factors
at the time of measurement.
This time, we conducted a joint study with Klipsch and matched the
design concept of the Klipsch brand speaker "Reference Series".
We will realize the sound field setting and install it as "Klipsch Optimized Mode" .
This mode can also be combined with the automatic sound field correction
technology described above. The automatic sound field correction has
already been performed and the crossover circumference
Customers who set the wave number and those who do not set it from the
setting menu added after the software update
By simply specifying the model number of the Reference series, the crossover
frequency becomes an ideal value instead of an estimated value, and the speaker system
The low-frequency reproduction capability can be maximized, and reproduction
that matches the design concept of Klipsch speakers is possible.

When new products in the Reference series are released, we plan to add
additional support through updates.
